These Terms of Service (“Terms”) govern your access to and use of the public, self-service, and SolonGate-hosted products and services provided by SolonGate LLC (“SolonGate,” “we,” “us,” or “our”), including our website, user accounts, dashboard, hosted security services, APIs, local software used in connection with those hosted services, browser extension, documentation, and related features (collectively, the “Services”).

By creating a SolonGate account, clicking an acceptance button, subscribing to a Service, or accessing or using a SolonGate-hosted Service, you agree to these Terms.
If you do not agree, do not use the Services.
If you use the Services on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, “you” means that entity.
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Services.
These Terms do not govern a separately contracted enterprise or on-premise deployment where SolonGate and the customer have entered into another written agreement governing that deployment.
If a separate written agreement with SolonGate applies to the same Service, that agreement controls to the extent of any conflict with these Terms.
Certain SolonGate software is made available under open-source licenses.
Your rights to an open-source component are governed by the applicable open-source license, not by provisions of these Terms that would restrict rights granted under that license.
Use of an open-source SolonGate component independently from SolonGate-hosted Services does not, by itself, convert the open-source license into these Terms.
These Terms apply when you use SolonGate-hosted Services, accounts, dashboards, APIs, or proprietary components in connection with that software.
SolonGate provides security controls and audit functionality for AI agents and AI usage.
Depending on the Service and configuration, SolonGate may provide functionality such as:
Features may differ between plans, environments, software versions, and supported integrations.
We may add, modify, replace, or discontinue features from time to time.
Subject to your compliance with these Terms, SolonGate grants you a limited, non-exclusive, nontransferable, non-sublicensable right during the applicable term to access and use the proprietary portions of the Services for your own internal business, professional, development, or security purposes.
This license does not transfer ownership of SolonGate or its proprietary technology to you.
You may allow employees, contractors, or other authorized users to use the Services on your behalf where permitted by your plan. You are responsible for their compliance with these Terms.
Open-source components remain governed by their applicable open-source licenses as described in Section 1.
You must provide accurate and current information when creating and maintaining an account.
You are responsible for:
You must not share credentials in a manner that bypasses user, seat, organization, or other usage restrictions applicable to your plan.
SolonGate may require additional authentication or security measures where reasonably necessary to protect an account or the Services.
You are responsible for ensuring that you have the legal and organizational authority required to deploy or use SolonGate on the systems, devices, accounts, environments, or users you choose to protect.
You must not use SolonGate to monitor, collect, access, or process information from a person, device, account, or system where you do not have the authorization required by applicable law.
If you deploy SolonGate for employees, contractors, team members, or other users, you are responsible for providing any notices, obtaining any permissions, and satisfying any internal or legal requirements applicable to that deployment.
You are also responsible for:
“Customer Content” means content submitted to, stored by, captured by, or generated through the Services on your behalf, including security audit records, tool-call arguments, source code, credentials, browser security records, screenshots, conversation content, policies, and other data associated with your use of the Services.
As between you and SolonGate, you retain your rights in Customer Content.
These Terms do not transfer ownership of Customer Content to SolonGate.
You grant SolonGate a limited right to host, copy, transmit, process, display, and otherwise use Customer Content only as reasonably necessary to:
This right ends when it is no longer reasonably necessary for those purposes, subject to applicable retention requirements and our Privacy Policy.
You represent that you have the rights and authority necessary for SolonGate to process Customer Content as contemplated by these Terms.
You are responsible for the legality, accuracy, and appropriateness of Customer Content and for your instructions concerning its processing.
SolonGate does not use Customer Content to train general-purpose or proprietary AI models.
You must not use the Services to:
You may not probe, scan, or test SolonGate systems for vulnerabilities except with SolonGate’s authorization or in accordance with a vulnerability disclosure or security research policy published by SolonGate.
Except where permitted by applicable law, you may not reverse engineer, decompile, disassemble, or attempt to derive the source code of proprietary SolonGate software or Services.
This restriction does not apply to open-source components to the extent the applicable open-source license permits those activities.
The Services may be subject to technical or commercial limits, including limits relating to:
Applicable limits may be shown in the Service, documentation, account interface, checkout flow, or plan description.
You must not intentionally circumvent those limits.
We may throttle, restrict, or temporarily suspend activity where reasonably necessary to enforce applicable limits or protect the security, stability, or availability of the Services.
Certain Services may require payment.
Pricing, billing frequency, included usage, and other commercial terms presented to you at purchase or checkout form part of your agreement with SolonGate.
You agree to pay the fees and applicable taxes shown when you purchase a paid Service.
Unless otherwise stated, fees are quoted exclusive of applicable taxes.
You authorize SolonGate and its payment provider to charge the payment method you provide for amounts that you authorize.
If a purchase is identified as a recurring subscription, it will renew and be charged according to the renewal terms disclosed to you before purchase unless you cancel before the applicable renewal date.
We will not treat a Service as automatically renewing unless that recurring arrangement is disclosed as part of the purchase.
You may cancel a self-service paid subscription using the cancellation method made available through the Service or by contacting SolonGate where no in-product cancellation method is available.
Unless otherwise stated at purchase, cancellation stops future renewals and does not terminate access already paid for through the end of the current billing period.
Fees are non-refundable except where:
We may change prices for future subscription periods.
For an existing recurring subscription, a price change will apply no earlier than the next renewal period after the notice required by applicable law.
SolonGate may interact with or provide security functionality relating to third-party services, including AI providers, coding agents, browsers, developer tools, operating systems, and other software.
Those services are independent from SolonGate.
Your use of a third-party service remains subject to that provider’s own terms, policies, fees, availability, and technical requirements.
SolonGate is not responsible for:
Changes made by third-party providers may affect SolonGate integrations without advance notice.
Certain SolonGate features may use third-party AI models to help generate policies, explanations, or other outputs.
AI-generated output may be incomplete, inaccurate, inappropriate, or unsuitable for your environment.
You are responsible for reviewing AI-generated policies, rules, recommendations, or other outputs before relying on or deploying them.
You should not assume that an AI-generated security policy is safe, complete, or appropriate merely because it was generated through SolonGate.
SolonGate is intended to reduce security risk. It does not eliminate security risk.
No security product can identify, prevent, detect, or block every malicious, unsafe, unauthorized, or unintended action.
SolonGate does not warrant or guarantee that the Services will:
Security decisions depend on factors including your policies, configuration, environment, integrations, software versions, and the information available to SolonGate.
You remain responsible for your overall security program, access controls, backups, recovery procedures, system configuration, and human review.
SolonGate should not be used as the sole safety or security control for systems where failure could reasonably be expected to cause death, serious bodily injury, or catastrophic physical damage unless SolonGate has expressly agreed otherwise in writing.
Our Privacy Policy explains how SolonGate processes personal data in connection with the public and selfservice Services.
You agree to use the Services in a manner that permits SolonGate to process information as described in the Privacy Policy and these Terms.
Where you process personal data belonging to other people through SolonGate, you are responsible for complying with privacy and data-protection laws applicable to your use of the Services.
Separately contracted enterprise and on-premise deployments may be subject to additional or different data-processing agreements.
Except for Customer Content and third-party or open-source materials, SolonGate and its licensors retain all rights, title, and interest in:
No rights are granted except those expressly stated in these Terms or an applicable open-source license.
Some components distributed by SolonGate may be licensed under the MIT License or another open-source license.
The applicable open-source license controls your rights and obligations with respect to that component.
If these Terms conflict with an applicable open-source license regarding an open-source component, the open-source license controls for that component.
If you voluntarily provide suggestions, ideas, or feedback about SolonGate, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use that feedback to improve, develop, and operate our products and business without an obligation to compensate you.
This does not give SolonGate rights to Customer Content merely because Customer Content may contain feedback.
We may identify certain features as alpha, beta, preview, experimental, trial, early access, or similar.
These features may:
You use preview or experimental functionality at your own risk.
Free Services may be subject to additional limitations and may be modified or discontinued.
We may suspend or restrict access to all or part of the Services where we reasonably believe it is necessary because of:
Where reasonably practicable, we will limit a suspension to the affected account, feature, or activity.
Where the circumstances allow, we may provide notice and an opportunity to correct the issue before suspension. We are not required to provide advance notice where immediate action is reasonably necessary for security, legal, or abuse-prevention reasons.
You may stop using the Services at any time.
You may close your account or cancel a subscription using the methods made available by SolonGate.
We may terminate these Terms or your access to the Services if:
For free Services, we may terminate access on reasonable notice unless immediate termination is necessary for security, legal, fraud, or abuse-prevention reasons.
Upon termination, your right to use proprietary SolonGate-hosted Services ends.
Termination of these Terms does not terminate rights granted to you under an applicable open-source license.
Customer Content is handled after termination in accordance with our Privacy Policy and applicable retention practices.
Sections that by their nature should survive termination — including intellectual property, payment obligations, disclaimers, liability limitations, indemnification, and general legal provisions — will survive.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SOLONGATE DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF:
WITHOUT LIMITING SECTION 12, SOLONGATE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR SUITABLE FOR EVERY ENVIRONMENT OR USE CASE.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS. IN THOSE JURISDICTIONS, THESE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLONGATE AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY:
THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF SOLONGATE HAS BEEN ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOLONGATE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) US $100; OR (B) THE AMOUNTS YOU PAID TO SOLONGATE FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
THESE LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless SolonGate LLC and its members, managers, officers, employees, and affiliates from third-party claims, damages, liabilities, losses, and reasonable legal costs arising from:
SolonGate will provide reasonable notice of an indemnified claim where practicable.
You may not settle a claim in a manner that admits wrongdoing by SolonGate or imposes obligations on SolonGate without our written consent.
The Services may be subject to United States and other applicable export-control and economic-sanctions laws.
You may not access, export, re-export, supply, or use the Services where prohibited by applicable export-control or sanctions laws.
You represent that your use of the Services will comply with applicable restrictions.
SolonGate may restrict or terminate access where reasonably necessary to comply with applicable export-control or sanctions requirements.
Changes to the Services We may change the Services as they develop, including by adding, removing, or modifying functionality.
For paid Services, we will use reasonable efforts to provide notice where we materially discontinue core functionality during an existing subscription period, unless the change is required for legal, security, thirdparty dependency, or emergency reasons.
We may update these Terms from time to time.
If we make material changes, we will provide reasonable notice through the Services, by email, or by another appropriate method.
Material changes will apply prospectively from their stated effective date.
Where reasonably practicable, material changes will take effect at least 30 days after notice. Changes required to address legal obligations, security issues, abuse, or urgent operational risks may take effect sooner.
By continuing to use the Services after updated Terms become effective, you agree to the updated Terms.
If you do not agree to an update, you must stop using the Services before the updated Terms become effective.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Except where applicable law requires otherwise, any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of:
Each party consents to the personal jurisdiction and venue of those courts.
Nothing in this section prevents SolonGate from seeking temporary, preliminary, or injunctive relief in another court of competent jurisdiction where reasonably necessary to prevent unauthorized access, misuse of intellectual property, or an ongoing security threat.
If you are legally entitled to mandatory consumer protections or mandatory jurisdiction rights that cannot be waived by contract, this section does not override those rights.
You agree that these Terms may be entered into electronically and that electronic records and actions may be used in connection with your agreement with SolonGate.
You may not assign or transfer these Terms without SolonGate’s prior written consent.
SolonGate may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all of the relevant business or assets, or to an affiliate, provided the assignment does not materially reduce your rights under these Terms.
You and SolonGate are independent contracting parties.
These Terms do not create a partnership, agency, employment, franchise, fiduciary, or joint-venture relationship.
Neither party will be liable for delay or failure to perform an obligation caused by events beyond its reasonable control, except that this provision does not excuse payment obligations already due.
Failure to enforce a provision of these Terms does not waive the right to enforce it later.
If a provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.
These Terms, together with commercial terms presented at purchase and policies expressly referenced as governing a particular feature, constitute the agreement between you and SolonGate concerning the public and self-service Services unless another written agreement applies.
Except as expressly stated in these Terms, these Terms do not create rights for third-party beneficiaries.
